Has you try to replace xerces from Opencms lib to Tomcat 5.0.?
I saw this in mailing list file and I work for me.

I just installed OpenCms on a Win XP machine for demo-purposes
yesterday. And of course, as thing have to be whenever the word 'demo'
is involved all sorts of problems popped up.
I'm using Tomcat 5.0.25 and a patched opencms.jar that has the xerces
fix applied that Alex Kandzior added to the 5.0.x branch (a compile jar
available from here: http://www.codedroids.com/community/opencms - just
install the official 5.0.1 package and then replace the opencms.jar
with this one).
Using j2sdk1.4.2_05 with a site copied from another server just didn't
work for me. Going back to j2sdk1.4.1_07 solved the problem (well, as
to be expected, even after testing everything once at the office, I did
get a couple of never seen before error messages from OpenCms when
setting up for the demo, but a logout followed by a login in solved
that problem. Don't ask - it was a windows machine and it was a demo so
that's fine :-)
Not to conclude that 1.4.2_05 is a no go, but the OpenCms 5.0.1
(patched or with the usual Xerces juggling), Tomcat 5.0.25 and
j2sdk1.4.1_07 did the trick for me.
