What the "greyed out" effect is concerned: goto
WEB-INF/config/opencms-workplace.xml and search

Remove the enclosing <!-- --> from the section for xmlpage.

Possibly doing a stepwise upgrade would work better. Also increasing
Java VM heap and stack size may help. Not sure with this one though.
